Terms of service
The agreement between you and Haarness for the hosted Haarness Cloud service — accounts, plans, credits, your content and our responsibilities.
Terms of service
These terms are an agreement between you and Stack Forward LLC (Stack Forward合同会社) (“Haarness”, “we”, “us”), Level 9, Ariake Frontier Building Tower B, 3-7-26 Ariake, Koto-ku, Tokyo 135-0063, Japan, for the use of Haarness Cloud: the website haarness.ai, the account and billing service, cloud workspaces and agents, the attach gateway, the managed model router, the marketplace and the APIs (together, the Service).
By creating an account or using the Service you accept these terms, the Acceptable use policy and, where you act for a business, the Data processing agreement. How we handle personal data is described in the Privacy policy.
1. The open-source clients are separate
The Haarness CLI, terminal UI, server, Desktop app and SDKs are open-source software under the Apache License 2.0. Using them locally, with your own model-provider keys, does not require an account and is governed by that license, not by these terms. These terms apply when you use the hosted Service, including from those clients.
2. Your account
- You must be at least 18 years old, or the age of majority where you live if higher, and able to enter into a binding contract. If you use the Service for an organisation, you confirm you are authorised to accept these terms for it; “you” then includes that organisation.
- Give accurate information and keep your email address current: we send billing, security and service notices to it.
- Keep your password, API keys, router keys and signed-in devices secure. You are responsible for activity under your account until you tell us it is compromised. You can revoke devices and keys at any time in account settings.
- One person per personal account. Accounts may not be shared or transferred.
3. Plans, credits and payment
- Plans are subscriptions billed monthly or yearly. Prices, what each plan includes, the credit rates for every model and the price of compute, storage and egress are shown on Pricing and Models and in your account before you pay. Prices are in US dollars. A yearly plan is paid in advance for twelve months; its allowances are granted month by month.
- Team plans are billed per seat for a team account. The account's owners and admins decide who joins; members and pending invitations cannot exceed the seats paid for. Allowances are shared by the team. The person who buys a Team plan confirms they may bind the team's organisation, and that organisation is responsible for its members' use of the Service.
- Included credits are granted each month, reset at the start of the next one and do not carry over.
- Free trial. An account that has never had a plan may claim one free trial by saving a payment card. The trial's allowances are shown before you start and end after the trial period. Nothing is charged for the trial and it does not convert into a paid plan. One trial per person, account and card; we may refuse or end a trial that is used to get around this.
- Purchased credits (top-ups) do not expire while your account exists, survive cancellation, and can only be spent on the Service. They are not a deposit, cannot be transferred and are not exchangeable for cash, except where a refund is due under section 4 or the law. Each top-up carries a service fee, shown with the total before you pay.
- Automatic top-ups are off unless you turn them on. When you turn them on, you authorise us to charge your saved card, without asking each time, the pack price you chose whenever your available credits fall below the threshold you set, up to the daily limit shown. You can turn them off at any time in Billing; a declined charge turns them off and we tell you by email.
- Usage is metered per request and per second and deducted from your credits in the order shown in Billing. Overage beyond your credits happens only if you turn it on, and within the budget you set.
- Payment is taken by our payment processor, Stripe. Subscriptions renew automatically at the start of each period, monthly or yearly, until cancelled; before a yearly renewal you receive a reminder. By subscribing you authorise us to charge your payment method for each renewal and for any top-up or overage you choose.
- Your own provider keys. Requests you route through your own model-provider keys need an active plan or trial. They use no credits; the provider bills you under its own terms.
- Taxes. Prices exclude taxes unless stated. Where we are required to collect sales tax, VAT or a similar tax, it is added at checkout.
- Price changes apply from your next billing period, and we tell you at least 30 days before. You can cancel before the change takes effect.
- Failed payments. If a payment fails we may retry it, stop included grants, and after notice stop running workspaces until the balance is settled. Your data is kept as described in the Privacy policy.
4. Cancellation and refunds
- You can cancel at any time in Billing. Cancellation takes effect at the end of the current period; you keep the plan until then and are not charged again.
- Fees already paid are not refunded, and credits already consumed cannot be refunded, except where the law requires it or we have made a billing error.
- Consumers in the EU, the UK and similar jurisdictions have a 14-day right to withdraw from a distance contract. Because the Service starts immediately, at checkout you ask us to begin performance during that period and acknowledge that you lose the right of withdrawal for credits and services already consumed. If you withdraw within 14 days, we refund the unconsumed part of that payment. To withdraw, email [email protected] with your account email and the payment concerned.
- If you dispute a charge with your bank, we may freeze the unspent purchased credits affected while the dispute is resolved. Your account and data stay accessible.
5. Your content
- Your content is everything you put into or create with the Service: files and repositories in workspaces, prompts, conversations, agent outputs, schedules, uploaded profiles and plugins.
- You keep all rights in your content. You give us a limited licence to host, copy, transmit, process and display it only as needed to provide the Service to you — for example, to store it on your workspace volume, send your prompts to the model you selected, and make backups.
- We do not use your content to train AI models, and we do not sell it.
- You are responsible for your content and for having the rights to use it, including code and data you bring into a workspace.
- Plugins and other resources you publish to the marketplace are shared under the license you choose; you give us the right to distribute them to other users through the marketplace.
6. AI output and agents
- The Service lets AI models and agents read files, write code and run commands in your workspace, with the permissions you configure. Model output can be wrong, incomplete, insecure or similar to other people's output. Review it before you rely on it or deploy it.
- Output generated for you is your content, to the extent the law allows anyone to own it. We make no claim to it.
- Models on the managed router are provided by third-party model providers. When you use a model, your request is processed by that provider under its own terms and policies, which also apply to your use of that model. The providers we use are listed on Subprocessors.
- You must not use the Service to make decisions with legal or similarly significant effects on people without appropriate human review.
7. Acceptable use
You must follow the Acceptable use policy. We may remove content or suspend access that breaks it, as described there and in section 10.
8. Third-party services
The Service can connect to services we do not control — Git hosts, package registries, MCP servers, marketplace plugins written by other users. We are not responsible for them; your use of them is governed by their own terms. Install third-party plugins only from sources you trust.
9. Availability and changes
- Haarness Cloud is in beta. We work to keep it available but do not guarantee uninterrupted or error-free operation, and no service-level agreement applies unless one is agreed in writing. Current availability is on the status page.
- Keep your own copies of anything important. You can export a workspace at any time.
- We may change or discontinue features. If we discontinue the Service or a paid feature you rely on, we give you at least 30 days' notice and refund unused purchased credits and the unused part of any prepaid period.
10. Suspension and termination
- You can stop using the Service and ask us to delete your account at any time (see the Privacy policy).
- We may suspend or terminate access, with notice where reasonable, if you seriously or repeatedly breach these terms or the Acceptable use policy, fail to pay, create a security or legal risk for us or other users, or if the law requires it. Where the problem can be fixed, we tell you what is wrong and give you a chance to fix it first.
- On termination, you can export your workspaces for 30 days unless the law or the reason for termination prevents it; after that, your data is deleted as described in the Privacy policy. Unused purchased credits are refunded if we terminate for a reason other than your breach.
11. Warranties and liability
- The Service is provided “as is” and “as available”. To the extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.
- To the extent the law allows, neither party is liable for indirect or consequential loss, or for lost profits, revenue, data or goodwill, and our total liability arising out of these terms in any 12-month period is limited to the amounts you paid us for the Service in that period.
- Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, for gross negligence or wilful misconduct, or any other liability that cannot be limited by law. If you are a consumer, you keep all the rights the law of your country of residence gives you, including statutory guarantees of conformity, and nothing in these terms reduces them.
- If you use the Service for a business, you will defend and indemnify us against third-party claims arising from your content or your breach of the Acceptable use policy.
12. Changes to these terms
We may update these terms. For changes that affect you materially we give at least 30 days' notice by email and in the Service before they apply. If you do not agree, you can cancel before the change takes effect; continuing to use the Service after that means you accept the new terms. The date at the top of this page shows the current version.
13. Law and disputes
These terms are governed by the laws of Japan, and disputes go to the Tokyo District Court, which has exclusive jurisdiction in the first instance. If you are a consumer, you can also rely on the mandatory consumer-protection rules of, and bring proceedings in, your country of residence. Please contact [email protected] first — most problems are solved faster that way.
14. General
If a provision is found unenforceable, the rest stays in force. Not enforcing a right is not a waiver of it. You may not transfer these terms without our consent; we may transfer them to a successor to the Service, with notice to you. These terms, together with the documents they refer to, are the whole agreement between us about the Service.
